By accessing or using the Naturalingo mobile application and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Naturalingo ("Company," "we," "us," or "our").

2. Description of Service

Naturalingo is a language learning platform that provides AI-powered conversation practice, flashcards, social features, and related educational services. The Service is provided "as is" and may be modified, suspended, or discontinued at any time without notice.

3. User Accounts and Eligibility

3.1 Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have parental or guardian consent to use the Service.

3.2 Account Registration

You must provide accurate, complete, and current information when creating an account. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Acceptable Use Policy

5. Subscription and Payment Terms

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing is available in the app and on our website.

5.2 Payment

  • Subscriptions are billed in advance on a recurring basis
  • Payment is due immediately upon subscription activation
  • We use third-party payment processors and are not responsible for their actions
  • You authorize us to charge your payment method for all fees
  • All fees are non-refundable except as required by law

5.3 Auto-Renewal and Cancellation

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial billing periods

5.4 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods.

6. Intellectual Property Rights

The Service and all content, features, and functionality are owned by Naturalingo and are protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to:

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

6.3 User Content

By submitting content to the Service (messages, recordings, etc.), you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, modify, reproduce, and distribute such content for purposes of providing and improving the Service.

You acknowledge that AI processing may involve analysis of your conversations and voice data to provide language learning services.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties regarding learning outcomes or language proficiency improvements

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATURALINGO SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your data
  • Damages resulting from third-party conduct or content
  • Damages exceeding the amount paid by you for the Service in the 12 months preceding the claim

The Service is for educational purposes only. We make no guarantees about learning outcomes, language proficiency improvements, or suitability for specific educational goals.

9. Indemnification

You agree to indemnify, defend, and hold harmless Naturalingo, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or conduct on the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time by following the account deletion process in the app or contacting support.

10.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Extended periods of inactivity
  • Technical or security reasons
  • At our sole discretion

10.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and data
  • No refunds will be provided for unused subscription periods
  • Provisions that should survive termination will remain in effect

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except for small claims court actions.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

We reserve the right to modify these Terms at any time. We will notify users of material changes through:

  • In-app notifications
  • Website announcements

Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Naturalingo regarding the Service.
